Terms of Service

Effective date: March 1, 2026

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of MedEd Connect (“Platform”), operated by the Guam Memorial Hospital Authority (GMHA) Department of Medical Education. By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

If you are using the Platform on behalf of an institution, you represent that you have authority to bind that institution to these Terms.

2. Eligibility

  • You must be 18 years of age or older to use this Platform.
  • You must be a medical, PA, or NP student, resident, physician, healthcare professional, or authorized institutional administrator to register.
  • Accounts are personal and non-transferable. You may not share your login credentials.

3. Accounts and Security

  • You are responsible for maintaining the confidentiality of your password and for all activity under your account.
  • You must notify us immediately at education@gmha.org of any unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms.

4. Educational Records and FERPA

The Platform processes education records as defined under FERPA. Your rights as an eligible student are described in our Privacy Policy §3. By using the Platform, you consent to the disclosure of your education records to authorized institutional staff (coordinators, program directors, preceptors) with a legitimate educational interest in your rotation.

5. Duty Hour Logging — ACGME Compliance

  • Trainees enrolled in ACGME-governed programs must log duty hours accurately and in compliance with ACGME Common Program Requirements Section VI.F.
  • Falsification of duty hour records is a violation of these Terms and may constitute a violation of ACGME requirements, which can result in program sanctions.
  • The Platform will automatically flag weekly totals exceeding 80 hours as potential ACGME violations and notify program coordinators.

6. No Patient Health Information

You must not enter patient Protected Health Information (PHI) into any Platform field — including application notes, duty hour notes, evaluation comments, messages, or AI assistant queries. The Platform is not a HIPAA-covered entity's designated record set and is not designed to store PHI. Violation of this rule may result in immediate account termination and notification to your institution.

7. Evaluation Confidentiality

  • Evaluation results are confidential educational records.
  • Preceptor-to-trainee evaluations may be shared with the trainee and their program administrators.
  • You may not screenshot, copy, or share evaluation content with unauthorized parties.
  • Trainee evaluations of rotations are available to program directors in aggregate/anonymized form only, consistent with ACGME requirements for anonymized feedback.

8. AI Assistant

  • The AI assistant is available to authorized administrative roles only.
  • AI-generated outputs (letters, summaries) must be reviewed by a qualified staff member before official use. AI outputs are not official GMHA documents until reviewed and signed by authorized personnel.
  • Do not enter patient PHI or confidential third-party information into the AI assistant.
  • The Platform reserves the right to log aggregate AI usage metrics (no message content) for quota and monitoring purposes.

9. Acceptable Use

You agree not to:

  • Provide false information in applications, duty logs, or evaluations.
  • Attempt to access records of other trainees or institutions you are not authorized to view.
  • Use the Platform to transmit spam, malware, or unauthorized communications.
  • Reverse engineer, scrape, or attempt to extract the Platform database.
  • Use the AI assistant to generate content for unauthorized purposes or to circumvent institutional processes.

10. Affiliation Agreements

Institution-level affiliation agreements are separate legal documents governed by their own terms. These Terms do not supersede or modify any executed affiliation agreement. Where there is a conflict between these Terms and an executed affiliation agreement, the affiliation agreement controls with respect to institutional obligations.

11. Intellectual Property

The Platform, its design, software, and content are owned by GMHA. Trainees and institutions retain ownership of data they submit (applications, documents, evaluations). You grant GMHA a limited license to process and display that data solely to operate the Platform for you.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. GMHA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GMHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. GMHA'S TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Territory of Guam and, where applicable, federal law of the United States. Disputes shall be resolved in the courts of Guam. For institutional partners in Australia, New Zealand, or the EEA, we are willing to negotiate jurisdiction clauses in the applicable affiliation agreement or DPA.

15. Changes to Terms

We may update these Terms. Material changes will be communicated by email at least 14 days before the effective date. Continued use after the effective date constitutes acceptance of the revised Terms.
